References to the Ship Zip Depot Parties mean Ship Zip Depot LLC and, where applicable, its affiliates, members, managers, officers, employees, agents, contractors, representatives, successors, assigns, and service providers.

By accessing or using the Site, you acknowledge that you have read, understood, and agreed to these Terms.

If you use the Site on behalf of a business or organization, you represent that you have authority to bind that organization to these Terms.

Ship Zip Depot may revise these Terms as described below.

The Site is primarily intended for commercial and business purposes relating to transportation brokerage, freight, logistics, carrier relationships, customer relationships, vendor relationships, employment, or other legitimate business interactions with Ship Zip Depot.

You represent that you have legal capacity to enter into these Terms.

Unless expressly agreed otherwise in a written agreement signed by Ship Zip Depot, Ship Zip Depot acts as a transportation broker when arranging transportation by third-party motor carriers.

Ship Zip Depot arranges transportation between customers and independent motor carriers and other transportation providers.

SHIP ZIP DEPOT IS NOT THE MOTOR CARRIER TRANSPORTING THE FREIGHT AND DOES NOT TAKE PHYSICAL POSSESSION, CUSTODY, OR CONTROL OF FREIGHT SOLELY BY ARRANGING TRANSPORTATION.

Motor carriers engaged in connection with transportation arranged by Ship Zip Depot are independent contractors and do not become employees, agents, partners, joint venturers, or representatives of Ship Zip Depot merely because Ship Zip Depot arranged the transportation.

Nothing on the Site should be interpreted as representing that Ship Zip Depot itself operates the vehicle transporting a shipment unless expressly stated otherwise in a written agreement applicable to that service.

These Terms govern use of the Site.

THESE TERMS DO NOT, BY THEMSELVES, CREATE A CONTRACT FOR TRANSPORTATION, GUARANTEE ACCEPTANCE OF A SHIPMENT, OR OBLIGATE SHIP ZIP DEPOT TO ARRANGE TRANSPORTATION.

Transportation transactions may be governed by separate documents or agreements, including broker/customer agreements, broker/carrier agreements, rate confirmations, load tenders, bills of lading, credit agreements, payment agreements, quotations, insurance requirements, carrier onboarding documents, and other shipment-specific agreements.

If these Terms conflict with a separately executed written agreement governing a transportation transaction or business relationship, that separately executed agreement controls with respect to its subject matter.

Information displayed on the Site does not amend a separately executed transportation agreement unless expressly stated in writing by an authorized Ship Zip Depot representative.

Freight rates, estimates, quotes, transit times, capacity indications, and pricing information are subject to confirmation.

Unless expressly identified as binding in writing by an authorized Ship Zip Depot representative, quotes may change because of shipment characteristics, weight, dimensions, commodity, equipment requirements, carrier availability, market conditions, fuel costs, accessorial services, detention, layover, truck ordered not used, lumper charges, reconsignment, storage, additional stops, inaccurate information supplied to Ship Zip Depot, changes to shipment requirements, or other circumstances affecting transportation.

Submission of a quote request does not guarantee that Ship Zip Depot will accept or arrange a shipment.

Estimated pickup dates, delivery dates, transit times, capacity indications, shipment statuses, and tracking information are informational unless expressly guaranteed under a separate written agreement.

Transportation may be affected by circumstances outside Ship Zip Depot's reasonable control.

To the fullest extent permitted by applicable law and applicable transportation agreements, Ship Zip Depot does not guarantee carrier availability, pickup times, delivery times, or transit times merely because an estimated or expected time appears on the Site.

Certain Site features may require an account.

You agree to provide accurate, complete, and current information.

You are responsible for maintaining the confidentiality of your credentials, restricting unauthorized access, activity occurring through your account, and promptly notifying Ship Zip Depot of suspected unauthorized access.

Accounts may not be sold, transferred, sublicensed, or provided to unauthorized persons.

Ship Zip Depot may suspend, restrict, deactivate, or terminate an account when reasonably appropriate for security, fraud prevention, legal compliance, violation of these Terms, protection of Ship Zip Depot or another party, or other legitimate business purposes.

You represent that information submitted to Ship Zip Depot is, to the best of your knowledge, accurate, not intentionally misleading, lawfully provided, and information you are authorized to provide.

Ship Zip Depot may rely upon information supplied by customers, carriers, drivers, shippers, consignees, freight forwarders, vendors, and other third parties.

You are responsible for promptly notifying Ship Zip Depot of material errors or changes.

For information about how personal information is collected, processed, retained, disclosed, and protected, refer to the Privacy and Cookies Policy.

Users submitting shipment information are responsible for accurately describing freight and material transportation requirements.

Where applicable, you must accurately disclose commodity, weight, dimensions, quantity, equipment requirements, handling requirements, pickup and delivery requirements, temperature requirements, hazardous or regulated status, special security requirements, and other information reasonably necessary to arrange transportation.

You may not knowingly misdescribe freight or conceal material information.

Acceptance of information through the Site does not mean Ship Zip Depot has independently verified that information.

You may not tender hazardous materials, dangerous goods, controlled substances, illegal goods, prohibited goods, or freight requiring specialized authorization without required disclosure and Ship Zip Depot's express acceptance where applicable.

The party tendering regulated freight is responsible for providing legally required descriptions, classifications, documentation, packaging information, markings, and other required information.

Ship Zip Depot may decline to arrange transportation for any commodity or shipment.

Ship Zip Depot may rely on information supplied by motor carriers and lawful third-party sources when evaluating transportation providers.

Although Ship Zip Depot may employ commercially reasonable carrier-selection and verification procedures, third-party information can be inaccurate, incomplete, delayed, fraudulent, compromised, or outdated.

Nothing on the Site guarantees the future performance, conduct, solvency, safety, security, or reliability of an independent motor carrier or other third party.

Cargo loss, damage, shortage, theft, nondelivery, delay, or other transportation claims are governed by applicable law and the agreements and transportation documents applicable to the shipment.

The existence of shipment information, tracking information, carrier information, communications, or records on the Site does not constitute an admission of liability by Ship Zip Depot.

NOTHING ON THE SITE OR IN THESE TERMS CONSTITUTES AN ADMISSION THAT SHIP ZIP DEPOT IS A MOTOR CARRIER, INSURER, GUARANTOR OF A MOTOR CARRIER'S PERFORMANCE, OR GUARANTOR OF CARGO AGAINST LOSS, DAMAGE, THEFT, OR DELAY.

Responsibility for a particular loss will be determined under applicable agreements, transportation documents, insurance policies, law, and the facts applicable to the shipment.

Information relevant to claims, investigations, or legal proceedings may be handled as described in our Privacy and Cookies Policy.

You may not use the Site to engage in, facilitate, attempt, conceal, or assist cargo theft, fictitious pickups, identity theft, carrier impersonation, unauthorized re-brokering, double brokering, payment fraud, phishing, credential theft, fraudulent documentation, unauthorized shipment diversion, or other fraudulent or unlawful conduct.

Ship Zip Depot may suspend accounts, payments, loads, communications, or transactions where reasonably necessary to investigate suspected fraud or security concerns.

Information relating to suspected fraud, theft, or misconduct may be collected, retained, used, and disclosed in accordance with our Privacy and Cookies Policy and applicable law.

You may use the Site only for lawful purposes.

You may not use the Site to violate law; submit intentionally false information; impersonate another person or business; gain unauthorized access; interfere with Site operation; circumvent security controls; introduce malicious software; scrape or systematically extract Site information without permission; unlawfully collect personal information; infringe intellectual-property rights; commit fraud; or otherwise harm Ship Zip Depot, its customers, carriers, service providers, or other parties.

Ship Zip Depot may restrict or terminate access for violation of these Terms.

By communicating electronically with Ship Zip Depot, you consent to receiving appropriate business communications electronically, including shipment communications, transaction information, invoices, security notices, account notices, administrative communications, and legal notices.

Marketing communications and the processing of communication-related information are addressed in our Privacy and Cookies Policy.

If the Site permits payments, by submitting payment information you represent that you are authorized to use the payment method, the information supplied is accurate, the transaction is lawful, and Ship Zip Depot or its designated processor may process the authorized transaction.

Payments may be processed through independent financial institutions or payment providers.

The Site may integrate with or link to third-party websites, tracking services, carrier-verification services, payment processors, mapping providers, communications platforms, or other resources.

Ship Zip Depot does not control independently operated third-party services and does not warrant their content, availability, security, accuracy, services, products, or actions.

Use of third-party services may be governed by their own terms and privacy policies.

Our treatment of personal information shared with or received from service providers is addressed in the Privacy and Cookies Policy.

The Site and its content, design, graphics, logos, text, software, databases, interfaces, functionality, and other materials are owned by Ship Zip Depot or its licensors and may be protected by intellectual-property laws.

Except where expressly authorized, you may not reproduce, republish, distribute, sell, license, modify, scrape, commercially exploit, publicly display, reverse engineer, create derivative works from, or otherwise misuse the Site or proprietary content.

All rights not expressly granted are reserved.

Ship Zip Depot does not guarantee uninterrupted Site availability, error-free operation, preservation of every communication or record, or compatibility with every device or system.

Ship Zip Depot may modify, suspend, restrict, or discontinue Site functionality when reasonably appropriate.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ITS CONTENT ARE PROVIDED AS IS AND AS AVAILABLE.

THE SHIP ZIP DEPOT PARTIES DISCLAIM EXPRESS OR IMPLIED WARRANTIES RELATING TO THE SITE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.

SHIP ZIP DEPOT DOES NOT WARRANT THAT THE SITE WILL ALWAYS BE AVAILABLE OR ERROR-FREE, THAT TRANSMISSIONS WILL ALWAYS BE SECURE, THAT INFORMATION WILL NEVER BE LOST, THAT SECURITY CONTROLS CAN NEVER BE DEFEATED, THAT THIRD-PARTY INFORMATION WILL ALWAYS BE ACCURATE, OR THAT THE SITE WILL MEET EVERY USER'S REQUIREMENTS.

Nothing in this section excludes warranties that cannot legally be excluded.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SHIP ZIP DEPOT PARTIES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO USE OF OR INABILITY TO USE THE SITE.

This includes, where permitted by law, lost profits, lost business opportunities, lost data, business interruption, and costs of substitute services.

If Ship Zip Depot is found liable for a claim arising solely from use of the Site or these Terms and the claim is not governed by a separate written agreement, Ship Zip Depot's aggregate liability for all such claims will not exceed $250 to the fullest extent permitted by applicable law.

This limitation does not apply to liability that cannot legally be limited or excluded.

THIS SECTION CONCERNS SITE-RELATED CLAIMS. LIABILITY RELATING TO AN ACTUAL TRANSPORTATION TRANSACTION MAY INSTEAD BE GOVERNED BY APPLICABLE TRANSPORTATION AGREEMENTS, RATE CONFIRMATIONS, BILLS OF LADING, STATUTES, REGULATIONS, OR OTHER GOVERNING DOCUMENTS.

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless the Ship Zip Depot Parties from third-party claims, liabilities, losses, damages, judgments, penalties, costs, and reasonable attorneys' fees arising from your unlawful use of the Site, material violation of these Terms, unlawfully submitted content, infringement of another person's rights, fraud committed through your account, or another person's use under your direction or through credentials you failed to protect.

This obligation does not apply to the extent caused by Ship Zip Depot's own conduct for which indemnification cannot lawfully be required.

To the extent permitted by law, Ship Zip Depot will not be responsible for failure or delay caused by circumstances outside its reasonable control, including severe weather, natural disasters, fires, floods, war, terrorism, civil unrest, governmental action, emergencies, labor disruptions, infrastructure failures, utility or telecommunications outages, transportation disruptions, road closures, port disruptions, carrier capacity disruptions, and similar circumstances.

Use of the Site does not create a partnership, joint venture, franchise, employment relationship, fiduciary relationship, or agency relationship between you and Ship Zip Depot.

An independent motor carrier does not become Ship Zip Depot's employee merely because Ship Zip Depot arranged transportation, communicated shipment information, supplied tracking information, or made information available through the Site.

Separate contractual relationships are governed by their applicable agreements.

Your privacy is important to Ship Zip Depot.

Our Privacy and Cookies Policy describes our collection, use, processing, retention, disclosure, security, cookies, marketing practices, privacy rights, fraud-related data processing, and related privacy practices.

The Privacy and Cookies Policy is incorporated into these Terms by reference.

Ship Zip Depot may suspend, restrict, or terminate Site access where reasonably necessary because of violation of these Terms, fraud prevention, cybersecurity concerns, suspected unauthorized access, legal or regulatory requirements, protection of users or third parties, system maintenance, or discontinuation of a service.

Provisions that by their nature should survive termination will survive.

Except where federal law preempts state law or applicable law requires otherwise, these Terms and disputes arising specifically from use of the Site will be governed by the laws of the State of New York, without application of conflict-of-laws principles that would require another jurisdiction's law.

To the fullest extent permitted by applicable law, legal proceedings arising specifically from the Site or these Terms and not governed by another written agreement shall be brought in a state or federal court of competent jurisdiction located in New York.

Each party consents to such jurisdiction to the extent legally permissible.

Separate written agreements may establish different dispute-resolution procedures, governing law, or venue.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, A CLAIM ARISING SOLELY FROM THE SITE OR THESE TERMS MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CLAIM ACCRUES OR IT WILL BE BARRED.

This provision does not apply where applicable law prohibits shortening the relevant limitations period and does not replace transportation-specific claim deadlines established by applicable law or separate agreements.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND SHIP ZIP DEPOT KNOWINGLY AND VOLUNTARILY WAIVE THE RIGHT TO TRIAL BY JURY IN A LEGAL PROCEEDING ARISING OUT OF OR RELATING SPECIFICALLY TO THE SITE OR THESE TERMS.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CLAIMS ARISING FROM THE SITE OR THESE TERMS SHALL BE BROUGHT ON AN INDIVIDUAL BASIS.

YOU AND SHIP ZIP DEPOT WAIVE THE RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION TO THE EXTENT THE WAIVER IS ENFORCEABLE UNDER APPLICABLE LAW.

If applicable law prohibits this restriction for a particular claim, it will be enforced only to the maximum extent legally permitted.

Ship Zip Depot's failure or delay in exercising a right under these Terms does not waive that right.

A waiver concerning one event does not constitute a waiver concerning another event unless expressly stated in writing.

If a provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions remain effective to the fullest extent permitted by law.

Where legally permissible, the affected provision should be interpreted or modified to most closely accomplish its intended lawful purpose.

You may not assign or transfer rights or obligations under these Terms without Ship Zip Depot's prior written consent.

Ship Zip Depot may assign these Terms in connection with a merger, acquisition, restructuring, financing, sale of assets, corporate reorganization, or transfer of the applicable business, subject to applicable law.

These Terms and the incorporated Privacy and Cookies Policy constitute the agreement between you and Ship Zip Depot concerning general use of the Site except where another applicable written agreement provides otherwise.

These Terms do not supersede separately executed agreements governing transportation, carrier services, customer services, employment, vendor relationships, confidentiality, payments, or other business relationships.

Ship Zip Depot may revise these Terms from time to time.

The Last Updated date identifies the most recent revision.

Changes become effective when posted or on a later date specified in the revised Terms, subject to applicable legal requirements.

Continued use of the Site after revised Terms become effective constitutes acceptance to the extent permitted by applicable law.

If you do not agree with revised Terms, discontinue use of the Site.
